Grep Badger End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you and RezKey LLC. for the use of the Grep Badger software application and any related updates, documentation, and license keys we provide (collectively, the "Software").
By installing, accessing, or using the Software, you agree to this Agreement.
- License Grant
Subject to this Agreement and your payment of any required license fee, RezKey LLC. grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software for your own internal personal or business use.
This is a license, not a sale. RezKey LLC. and its licensors retain all ownership and intellectual property rights in the Software.
- Single User License
Each paid license is assigned to one person.
That licensed person may install, activate, and use the Software on any devices they personally own or control, provided that the Software is used only by that same licensed person.
A single license may not be shared between multiple people, even if:
they are in the same household, they work for the same company, they use the same computer at different times, or they do not use the Software simultaneously.
If more than one person will use the Software, a separate license is required for each user.
- Businesses and Organizations
If a business or organization purchases a license, that license must still be assigned to a single named user.
The business or organization is responsible for ensuring the Software is used only by the assigned user unless additional user licenses are purchased.
- Trial Use
If the Software is provided with a trial period, you may use the Software during that trial period subject to this Agreement.
After the trial period ends, continued use of the Software may require payment of a license fee. If the Software includes reminders, notices, or limited access after the trial, you agree those features are part of the product’s licensing system.
- License Keys and Activation
The Software may require a license key, activation token, or similar mechanism.
You may not:
resell, redistribute, publish, or publicly share license keys, bypass, disable, or interfere with licensing checks, use a license key assigned to another person, or attempt to generate or forge license keys.
You are responsible for keeping your license information reasonably secure.
- Permitted Use
You may use the Software to view, search, filter, analyze, and manage logs and related data for lawful purposes.
You are responsible for how you use the Software, including:
the systems you connect to, the data you access, compliance with employer, client, or customer policies, compliance with privacy, confidentiality, and security obligations, and compliance with applicable laws. 7. Restrictions
You may not, except where prohibited by law from restricting it:
copy, modify, or create derivative works of the Software, reverse engineer, decompile, or disassemble the Software, remove copyright, trademark, or proprietary notices, rent, lease, sublicense, sell, or redistribute the Software, use the Software to provide a commercial hosted service where third parties access the Software itself, use the Software in a way that violates any law or third-party rights. 8. AI Providers and Third-Party Services
The Software may support optional integrations with third-party services, including local AI providers or remote AI providers such as OpenAI.
You understand and agree that:
third-party services are governed by their own terms and privacy practices, RezKey LLC. is not responsible for third-party services, any data you choose to send to a third-party provider is sent at your direction, you are responsible for reviewing what data you send before sending it. 9. Privacy and Data Handling
Grep Badger is intended to be a local-first desktop application. Certain features may store settings, snippets, notes, session data, or similar information locally on your device. Optional integrations may transmit selected data only when you choose to use those integrations.
You are responsible for deciding what logs, credentials, secrets, personal information, or confidential information you load into the Software or send to any external provider.
- Updates
Unless RezKey LLC. states otherwise, your license includes updates, improvements, and bug fixes made available for the same major version of the Software you purchased.
A future major version, if any, may be offered under a separate license.
RezKey LLC. is not obligated to provide any particular update, feature, or future version.
- Support
Any support, help, or recovery assistance is provided at RezKey LLC.’s discretion unless separately stated.
License recovery may require reasonable proof of purchase, such as the original purchase email address, receipt information, or other verification.
- Transfer
This license is personal to the licensed user and may not be transferred, assigned, or sublicensed without prior written permission from RezKey LLC..
- Termination
This Agreement ends automatically if you violate it.
Upon termination, you must stop using the Software and delete all copies in your possession or control.
Sections that by their nature should survive termination will survive, including ownership, restrictions, disclaimers, limitation of liability, and governing law.
- Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
RezKey LLC. DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR SUITABLE FOR YOUR SPECIFIC NEEDS.
- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RezKey LLC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RezKey LLC.’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS AGREEMENT WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE.
- Governing Law
This Agreement is governed by the laws of {{governingStateOrCountry}}, without regard to conflict of law rules.
Any legal dispute arising out of this Agreement shall be brought in the courts located in {{venue}}, and you consent to that jurisdiction and venue.
- Entire Agreement
This Agreement is the entire agreement between you and RezKey LLC. regarding the Software and supersedes prior or contemporaneous understandings relating to it.
